British conglomerate BTR, which has been pursuing Stewart-Warner for several months, said it has agreed to acquire the Chicago manufacturing concern in a merger valued at about $220 million. Under terms of the agreement, BTR, which already owns 17% of Stewart-Warner, will pay holders of outstanding common stock $33 a share in cash.
