A management group headed by Chairman Michael Dingman offered $80 a share to acquire all the outstanding shares of Henley Manufacturing Corp. that it and Henley Group, the La Jolla-based conglomerate, do not already own. The offer from New Hampshire Oak is contingent on Hampton, N.H.-based Henley Manufacturing exercising its option to acquire the 51% interest in the company still owned by Henley Group. New Hampshire Oak would pay $208 million for the remaining 2.6 million shares. Before a halt in trading of Henley Manufacturing stock, the stock traded at $66.50 a share.
