Mattel Inc.’s planned acquisition of Learning Co. was approved in votes by shareholders of both companies at separate meetings. El Segundo-based Mattel expects to close the deal Thursday. Based on that schedule, it is expected that each Learning Co. share would be exchanged for 1.2 shares of Mattel. Mattel closed up $1.63 at $27.31, while Learning Co. rose $2.11 to close at $32.42, both on the NYSE.

Lear Corp., the world’s largest auto interior maker, agreed to sell an electric motor business for $310 million to Hong Kong-based Johnson Electric Holdings Ltd., which makes small motors, shedding one of the units it bought this week from United Technologies Corp.
